These Terms and Conditions («Terms») govern your access to and use of the website mysmartkitchen.us and any partnership programs offered by My Smart Kitchen, a brand of IDEA BOX LLC («Company,» «we,» «us»). By accessing our website or submitting a partnership inquiry, you agree to be bound by these Terms.
Please read these Terms carefully before using our website or enrolling in any My Smart Kitchen program. If you do not agree with any part of these Terms, you must not use our services.
1. Eligibility
To participate in the My Smart Kitchen partnership program, you must: (a) be at least 18 years of age; (b) operate a legally registered food service establishment; (c) hold all required local, state, and federal licenses for food preparation and delivery; and (d) have the authority to enter into a binding agreement on behalf of your business.
2. Description of services
My Smart Kitchen provides restaurant operators with access to delivery-only brand licenses, operational guidelines, and marketing support to generate additional revenue through third-party delivery platforms. We act as a brand licensor and operational partner — we do not operate your kitchen or employ your staff.
3. Partner obligations
As a My Smart Kitchen partner, you agree to:
- Prepare and deliver food products in strict accordance with our brand standards and recipe specifications.
- Maintain all health, safety, and sanitation standards required by applicable law.
- Manage your own delivery app accounts as directed in your onboarding materials.
- Not sublicense, transfer, or share brand materials with third parties.
- Promptly notify us of any complaints, health incidents, or violations related to licensed brand products.
4. Fees and revenue
Specific financial terms, including licensing fees, revenue-sharing arrangements, and payment schedules, will be set forth in a separate Partner Agreement signed by both parties. Nothing in these Terms constitutes a guarantee of income or specific revenue levels. Actual results will vary based on location, volume, and operational factors.
5. Intellectual property
All brand names, logos, recipes, trade secrets, and materials provided by My Smart Kitchen remain the exclusive property of IDEA BOX LLC or its licensors. Partners are granted a limited, non-exclusive, revocable license to use such materials solely for the purpose of operating the licensed brand within the agreed territory. Any unauthorized use constitutes a material breach of these Terms.
6. Limitation of liability
To the fullest extent permitted by law, IDEA BOX LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or participation in the partner program, including but not limited to lost profits, loss of goodwill, or business interruption.
7. Indemnification
You agree to indemnify, defend, and hold harmless IDEA BOX LLC, its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your operation of the licensed brand, your violation of these Terms, or your breach of any applicable law or regulation.
8. Termination
Either party may terminate the partnership arrangement upon written notice as specified in the Partner Agreement. We reserve the right to immediately suspend or terminate access to brand materials if a partner violates food safety standards, engages in fraudulent activity, or materially breaches these Terms.
9. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of [State], United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction in [City, State].
